Terms of Service

1. Acceptance of terms

By accessing or using CleanZuno (“the Service”), operated by Zuno Smart Labs Limited (“we”, “us”, “our”), a company registered in New Zealand, you agree to be bound by these Terms of Service. If you do not agree, please do not use the Service.

If you are using the Service on behalf of a business, you confirm that you have authority to bind that business to these terms.

2. What CleanZuno provides

CleanZuno is a cloud-based field service management platform designed for commercial cleaning businesses. The Service includes staff scheduling, GPS check-in and check-out, photo verification, task management, and operational notifications.

We may update, modify, or discontinue features of the Service from time to time. We will give reasonable notice of any material changes.

3. Your account

To use CleanZuno, you must create an account with accurate and complete information. You are responsible for:

  • Keeping your login credentials secure and confidential.
  • All activity that occurs under your account.
  • Notifying us promptly if you suspect unauthorised access.

We may suspend or terminate accounts that violate these terms or remain inactive for an extended period, with reasonable notice where possible.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Attempt to gain unauthorised access to the Service or its underlying systems.
  • Interfere with or disrupt the Service or servers connected to it.
  • Upload malicious code, viruses, or harmful content.
  • Use the Service to harass, abuse, or harm others.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Resell, sublicense, or redistribute the Service without our written consent.

5. Intellectual property

The Service, including its design, code, logos, and documentation, is owned by Zuno Smart Labs Limited and protected by intellectual property laws. These terms do not grant you any ownership rights in the Service.

You retain ownership of the data you submit to CleanZuno. By using the Service, you grant us a limited licence to store, process, and display your data solely to operate the Service for you.

6. Your data and privacy

We collect, store, and process personal information in accordance with our Privacy Policy, which forms part of these terms. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

We take reasonable steps to protect your data using industry-standard security measures. You are responsible for ensuring that any personal information you submit through the Service (including information about your employees or clients) has been collected with appropriate consent and in compliance with applicable privacy laws.

7. Payment and billing

Paid plans are billed in advance on a monthly or annual basis, as selected during signup. All fees are quoted in New Zealand Dollars (NZD) unless stated otherwise.

  • Fees are non-refundable except where required by law.
  • We may change pricing with at least 30 days’ written notice.
  • If payment fails, we may suspend access until the outstanding amount is paid.
  • New Zealand GST (if applicable) or Australian GST (if applicable) will be added to invoices where required by law.

We may offer free or trial access to parts of the Service. Free and trial plans are provided at our discretion and may be modified, limited, or discontinued at any time without notice.

8. Limitation of liability

To the maximum extent permitted by law, Zuno Smart Labs Limited is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months preceding the claim.

The Service is provided “as is” and “as available”. We do not guarantee uninterrupted or error-free operation. We make no warranties, express or implied, including warranties of merchantability or fitness for a particular purpose, except where such warranties cannot be excluded by law.

9. Australian Consumer Law

If you are an Australian consumer, you may have rights under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) that cannot be excluded, restricted, or modified by contract. Nothing in these terms is intended to exclude, restrict, or modify those rights.

10. New Zealand Consumer Guarantees Act

If you are a New Zealand consumer, you may have rights under the Consumer Guarantees Act 1993 that cannot be excluded by contract. Nothing in these terms is intended to exclude, restrict, or modify any rights or remedies you may have under the Consumer Guarantees Act 1993, the Fair Trading Act 1986, or any other applicable New Zealand legislation where such exclusion is prohibited by law.

If you are acquiring the Service for business purposes (as defined in the Consumer Guarantees Act 1993), you agree that the Consumer Guarantees Act 1993 does not apply.

11. Termination

You may cancel your account at any time directly through the app, or by contacting us at support@zunosmartlabs.com.

We may suspend or terminate your access if you breach these terms, with reasonable notice where possible. On termination:

  • Your right to use the Service ends immediately.
  • We will retain your data for 30 days to allow you to request an export, after which it will be deleted in accordance with our Privacy Policy.

12. Dispute resolution and governing law

These terms are governed by the laws of New Zealand.

If a dispute arises in connection with the Service, the parties agree to follow this process before commencing court proceedings:

  1. Informal resolution. The parties will first attempt to resolve the dispute by good-faith negotiation. Either party may initiate this by sending written notice to the other describing the dispute.
  2. Mediation. If the dispute is not resolved within 30 days of the initial notice, either party may refer the dispute to mediation administered by the Resolution Institute (or an equivalent mediation provider agreed by the parties), with the costs shared equally.
  3. Court proceedings. If mediation does not resolve the dispute within 60 days of referral, either party may commence proceedings in the courts of New Zealand, which will have exclusive jurisdiction.

If you are an Australian consumer, this clause does not prevent you from bringing proceedings in Australia where permitted by Australian law.

13. Changes to these terms

We may update these terms from time to time. If we make material changes, we will notify you via the platform or by email at least 14 days before the changes take effect. Your continued use of the Service after that date constitutes acceptance of the updated terms.

14. General provisions

  • Severability. If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
  • Entire agreement. These terms, together with our Privacy Policy, constitute the entire agreement between you and Zuno Smart Labs Limited regarding the Service, and supersede any prior agreements or understandings.
  • Force majeure. Neither party will be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including natural disasters, internet outages, government actions, or pandemics.
  • Waiver. A failure by either party to enforce any right or provision of these terms does not constitute a waiver of that right or provision.
  • Assignment. You may not assign or transfer your rights under these terms without our prior written consent. We may assign our rights and obligations under these terms in connection with a merger, acquisition, or sale of assets, provided the assignee agrees to honour these terms.
